Terms of Service

By accessing, browsing, or using the Mentrixx platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all visitors, users, coaches, coachees, administrators, and any other persons who access or use the Platform. We reserve the right to update these Terms at any time, and we will notify you of any material changes via email or through a notice on the Platform.

Mentrixx provides a digital platform for executive coaching and leadership development, including but not limited to:

• Coaching Platform: Matching coaches with coachees, scheduling sessions, and facilitating virtual coaching engagements
• Leadership Programs: ICF-accredited coaching programs and customized leadership development curricula
• Assessment Tools: Personality, competency, and performance assessment instruments
• Communication Tools: Secure messaging, video conferencing, and session management features
• Reporting & Analytics: Progress tracking, engagement metrics, and outcome measurement dashboards

To access certain features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate and current
• Keep your login credentials confidential and not share them with any third party
• Accept responsibility for all activities that occur under your account
• Immediately notify Mentrixx of any unauthorized use of your account or any security breach

Mentrixx reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or in violation of these Terms.

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, post, or transmit any harmful, threatening, abusive, or defamatory content
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the operation of the Platform or its servers
• Attempt to gain unauthorized access to any portion of the Platform or any other systems
• Use the Platform for any commercial purpose not expressly authorized by Mentrixx
• Collect or harvest any personally identifiable information from the Platform
• Use automated scripts, bots, or other means to access or interact with the Platform

The Platform, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement), is owned by Mentrixx or its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

• License: We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose
• Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without prior written consent
• User Content: You retain ownership of content you submit to the Platform, but grant Mentrixx a license to use it in connection with providing our services
• Trademarks: The Mentrixx name, logo, and all related marks are trademarks of Mentrixx and may not be used without permission

Certain features of the Platform require a paid subscription. By subscribing, you agree to:

• Fees: Pay all applicable fees as described on the Platform at the time of purchase
• Billing: Authorize Mentrixx to charge your selected payment method on a recurring basis for subscription fees
• Cancellation: You may cancel your subscription at any time; access will continue until the end of the current billing period
• Refunds: Refunds are handled on a case-by-case basis in accordance with our refund policy
• Price Changes: Mentrixx reserves the right to modify pricing with at least 30 days' notice before any change takes effect

Mentrixx is committed to upholding the highest standards of coaching ethics and confidentiality:

• Session Confidentiality: All coaching sessions and related communications are treated as confidential
• ICF Standards: Our coaches adhere to the International Coaching Federation (ICF) Code of Ethics
• Data Protection: We implement appropriate technical and organizational measures to protect client data
• Disclosure Limits: Confidential information may only be disclosed when required by law or with explicit consent

To the fullest extent permitted by applicable law:

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind
• Mentrixx shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claims arising from your use of the Platform shall not exceed the amount paid by you in the twelve (12) months preceding the claim
• Mentrixx does not guarantee specific outcomes from coaching sessions or leadership development programs

Either party may terminate the agreement under the following conditions:

• By You: You may deactivate your account at any time through your account settings or by contacting support
• By Mentrixx: We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees
• Effect of Termination: Upon termination, your right to use the Platform ceases immediately; however, certain provisions (such as intellectual property and limitation of liability) shall survive termination
• Data Retention: Following termination, we may retain your data for a reasonable period as required by law or for legitimate business purposes

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of law provisions.

• Jurisdiction: Any legal disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE
• Arbitration: For disputes exceeding AED 100,000, the parties agree to submit to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC)
• Informal Resolution: Before pursuing formal proceedings, both parties agree to attempt to resolve disputes informally by contacting Mentrixx at legal@mentrixx.com
